    Alas Aviation Corp. (“ALAS”) is led by a seasoned team of executives with years of experience in the aviation industry. The company is in the process of acquiring, assembling and operating niche passenger airlines, air cargo and related ground service operators and seeks to profit through regional and global industry consolidation. Alas Aviation Corp., formerly known as LMK Global Resources, Inc., has closed a share exchange agreement into escrow with Arnold Leonora and Air Transport Group ("ATG") for control of Corporación Ygnus Air, S.A. (“Cygnus”), a niche Southern-European air cargo service operator. Upon ATG's delivery of a satisfactory financial audit for Cygnus and the refinancing of Cygnus' existing debt, both of which are in process, the transaction will clear escrow and Cygnus will become a subsidiary of ALAS.


    ALAS’ business model includes purchasing and integrating small regional operators to eliminate duplicate costs and inefficiencies, increase market presence, and leverage headquarters resources and functions. The ALAS team intends to focus on unique integration strategies that maximize profits, decrease operational costs and create high-margin operations. Enhancing brand visibility within respective local markets while streamlining behind the scenes operations and maintaining experienced workers are key ALAS priorities. Management believes customers will benefit from the combined network of passenger and cargo routes resulting in greater customer service & satisfaction.  


    ALAS is actively engaged in acquisition discussions with several niche operators throughout Europe and around the world collectively representing over US$750 million in potential revenue and substantial positive operating cash flows. In addition to the Cygnus acquisition, the Company would like to complete at least one of these other transactions by the end of calendar year 2013.

    Team

    Arnold B. Leonora: Chief Executive Officer of Cygnus and Alas Aviation Corp.

    Through his wholly-owned Air Transport Group, Inc., Mr. Leonora acquired 88.9% of the outstanding shares of Cygnus in May 2013 and the remaining 11.1% in June 2013. That same month Mr. Leonora entered into a share exchange agreement, which upon clearing escrow (upon delivery of the audit and ATG successfully completes the refinancing of old Cygnus debt), will result in Cygnus surviving as a subsidiary of ALAS. Since founding ATG in 1989, he and his associates have provided a wide range of professional services to companies in the aviation industry including investment banking, aircraft leasing, general business financing, air fleet management & related consulting services from offices in Atlanta (HQ), Fort Lauderdale, Madrid, Spain and Curacao, the Caribbean island nation located just off the northern coast of Venezuela. A graduate of Embry-Riddle Aeronautical University, Mr. Leonora has acquired, operated, reorganized and sold numerous airline operators over the past 20 years. A dual EU and US Citizen, Mr. Leonora fluently speaks Dutch, English, Spanish and Papiamento, the widely spoken language on the Caribbean ABC islands (Aruba, Bonaire & Curacao).


    Warrick A. Morgan: Chief Financial Officer, Alas Aviation Corp.


    At Atlanta M& A Advisors, LLC., Mr. Morgan has advised principals on business acquisition, sale and capital finance transactions in addition to serving in interim CFO and Controller positions at client companies since 1998. An entrepreneurial business professional with over 25 years of experience in functional and managerial roles in business and military units, he has worked as a self-employed technical and general business advisor, manager and staff member in areas of accounting, finance & investments. He was Controller at Consolidated Credit Group and Assistant to the CFO at American Nursing Homes, Inc., a holding company in the nursing home industry, and received his U.S. Army Commission (Military Police Branch) through ROTC at the University of South Florida in 1989 where he also received his B.A. in finance in 1990.


    Dr. Pablo Morera: Deputy Chairman and Managing Director for Cygnus.


    Dr. Morera has served as Senior Consultant for Air Transport Group Holdings, Inc. and Air Transport Group, LLC since 2012, leading all European activities. Dr. Morera holds both a Ph.D. in Air Transportation and a Master’s of Science degree in Aeronautical Engineering from the Polytechnic University of Madrid, Spain and a Masters of Business Administration from Madrid Business School. Dr. Morera’s experience includes work in a wide variety of scientific, managerial and administrative positions related to the Spanish and European aviation industries including Consultant, Consulting Engineer, Professor, Director, Chief Operating Officer and Chief Executive Officer.


    David Martinez Ochoa: Chief Operating Officer for Cygnus


    For the past 13 years, Mr. Martinez has held leadership roles in operations, quality and management throughout the air transport sector. He holds a degree in Aviation Business Administration issued by the Autónoma University in Madrid, where he specialized in Air Transport Pilot Studies.


    Arancha González: Chief Financial Officer for Cygnus


    Ms. Gonzalez has 15 years’ experience working with financials in the air transport sector. She holds an economics degree from the Complutense University in Madrid, and a Course of Consolidation degree from Madrid Business School.


    Fernando García Martín: Director of Flight Operations


    Mr. Martin began his aeronautical career with the Spanish Air Force in 1971. Since then, he has logged over 17,000 hours flight time (over 15,000 hours as captain). As the Inspector of the Spanish Civil Aviation, Mr. Martin received specialized training in the following disciplines: Specialization Courses for Aeronautical Inspections, EASA Part FCL, Avionic, Operational Approvals, New Technologies, Quality, and Safety Checks during Flight Operations, SANA and SAFA Training, Aeronautical Legislation, EU OPS 1, Inspection and Audit Techniques, MMEL and MEL Approvals, Training and Flight Operations, Special Approvals.


    Jose Manual Jimenez: Technical Director for Cygnus


    Mr. Jimenez holds a degree in Aeronautics Engineering from Polytechnic University in Madrid. For the past 34 years, Mr. Jimenez has held various positions in the aeronautics industry, including 23 years as Technical Director of various airlines, including Delta Aviation.

      Company Overview

      Founded in 1994 as Regional Lineas Aereas and rebranded in 2004 as Cygnus, the Madrid-based aeronautical company is an integrated provider of air cargo transportation specializing in medium and long-range cargo routes. Cygnus was acquired in 2013 by Air Transport Group, LLC (ATG) and Arnold Leonora from Imesapi, a member of the ACS Group – a global construction services conglomerate. The Company operates a fleet of 2 Boeing 757-200PCF cargo jets with over 50 employees servicing cargo flights to Europe and Africa. The experienced Cygnus operating executives lead this subsidiary in its execution and fulfilment of several long-term contracts in pursuit of long-term viability and profitability. Partnerships include arrangements with industry leaders like Iberia Cargo and TNT Airways (see “Key Contracts”).


      Cygnus has successfully managed multi-plane operations (up to 15 planes), carrying both freight and passengers throughout Spain, Europe, the Middle East, Africa and the Americas. From 2005 to 2009, the company successfully ran long-haul passenger routes with 3 Airbus A340 jets servicing Cuba, the Dominican Republic and Brazil; along with short/medium haul passenger routes with Airbus A319 / 320 / 321 and Boeing B757-200 aircraft. The Company plans to grow organically by expanding long range air freight and passenger flights by Q4 2013 through the addition of B767-300BDSF and B777-200 aircrafts to the existing fleet.

      Company History

    Passenger Excellence

    From 2005 to 2009 we successfully operated long-haul passenger routes with three Airbus A340 jets to Havana, Cuba; Santo Domingo, Dominican Republic; and Rio de Janeiro, Brazil and short / medium haul passenger routes with Airbus A319 / 320 / 321 and Boeing B757-200 aircraft.

    We offer a wet lease service to third parties which means operating crew are included with the aircraft rental/service agreement. This service allows our airline customers to flexibly and economically respond to and meet market demand.

    We are a solid, safe and ethical company with an excellent safety record. We offer quality, reliability and the highest performance levels.

    As a small carrier, we are able to customize our services down to the last detail. At CYGNUS AIR we recognize that each customer and passenger is unique and work to meet their particular needs.

    Our own Flight Dispatch Department and Operations Control Center (OCC) allow us to manage all support services related to customer operations such as cargo handling, permits, visas, fuel, and hotels 24 hours a day, anywhere in the world.

    We have received the Foreign Operations Specifications Permit for flights to and within the United States issued by the US Department of Transportation (DOT) and the FAA

    For the past 13 years, Mr. Martinez has held leadership roles in operations, quality and management throughout the air transport sector. He holds a degree in Aviation Business Administration issued by the Autónoma University in Madrid, where he specialized in Air Transport Pilot Studies.

    Ms. Gonzalez has 15 years’ experience working with financials in the air transport sector. She holds an economics degree from the Complutense University in Madrid, and a Course of Consolidation degree from Madrid Business School.


    Fernando García Martín: Director of Flight Operations


    Mr. Martin began his aeronautical career with the Spanish Air Force in 1971. Since then, he has logged over 17,000 hours flight time (over 15,000 hours as captain). As the Inspector of the Spanish Civil Aviation, Mr. Martin received specialized training in the following disciplines: Specialization Courses for Aeronautical Inspections, EASA Part FCL, Avionic, Operational Approvals, New Technologies, Quality, and Safety Checks during Flight Operations, SANA and SAFA Training, Aeronautical Legislation, EU OPS 1, Inspection and Audit Techniques, MMEL and MEL Approvals, Training and Flight Operations, Special Approvals.


    Jose Manual Jimenez: Technical Director for Cygnus


    Mr. Jimenez holds a degree in Aeronautics Engineering from Polytechnic University in Madrid. For the past 34 years, Mr. Jimenez has held various positions in the aeronautics industry, including 23 years as Technical Director of various airlines, including Delta Aviation.
